Terms of service
These terms apply to wholesale enquiries and orders placed with Yidu Trading Co., Ltd. Where a signed contract or a specific quotation states different terms, that document prevails.
1. Who these terms apply to
We supply wholesale quantities to businesses, resellers and distributors. Nothing on this site is a retail offer. Orders are accepted at our discretion, and we may decline an order where the requested artwork, market or specification falls outside what we can produce responsibly.
2. Quotations and orders
A quotation is valid for 30 days unless it states otherwise. A quotation is not an acceptance of an order. An order becomes binding when we confirm it in writing and the deposit referred to in that confirmation is received.
3. Minimums and pricing
Minimum order quantities are published on the customization page. The minimum is the entry point for a given level of customization and is not the point at which pricing bottoms out. Unit price steps down through the quantity bands stated in the applicable quotation. Packaging articles carry separate minimums because they are produced on a separate press.
4. Samples
What can be sampled depends on the customization:
- At stock orders and logo printing, a near-colour stock umbrella is supplied to confirm construction and print quality.
- At full-canopy printing, a pre-production umbrella is supplied.
- At custom fabric colour, only a fabric swatch can be supplied. A dye lot has a minimum volume, and a single umbrella cannot justify opening a dye lot. The swatch confirms colour only — not construction, print or hand feel, which are confirmed on a near-colour umbrella sample.
Sample fees and sample lead times are stated in the quotation. Samples are charged unless expressly waived for repeat customers.
5. Payment
Standard terms are T/T: a deposit to commence production, and the balance before shipment, as stated in the order confirmation. Goods remain our property until payment is received in full. We do not accept payment card details through this website.
6. Lead time and delivery
Lead time is quoted against the production schedule current at the time of quotation and runs from receipt of deposit and approval of artwork or the pre-production sample, whichever is later. Custom tooling orders carry a longer window, counted from final tooling drawing approval. Delivery terms (FOB, container, air, courier, DDP) are as stated in the quotation. Risk passes in accordance with the stated delivery term.
7. Inspection and claims
Every order is inspected before shipment against the approved sample. Please inspect goods on arrival and notify us in writing of any discrepancy within the period stated in your order confirmation, with photographs and the carton references. Where bulk goods differ from the approved sample, that difference is ours to remedy — replacement, refund or credit against the next order, agreed case by case. This obligation does not extend to differences that fall within the agreed colour and placement tolerances stated in the order confirmation.
8. Artwork and intellectual property
You are responsible for holding the rights to any logo, mark or design you ask us to print, and you agree to indemnify us against third-party claims arising from artwork you supplied. We will decline artwork that appears to infringe a third-party mark, including sports marks and character properties, unless you provide documented permission. Print plates produced for your order remain with us unless the quotation states otherwise.
9. Compliance responsibility
Product compliance requirements vary by destination market and product category. We will tell you what documentation we can support for your market. Ultimate responsibility for compliance with the importing country's regulations rests with the importer. We recommend confirming requirements before placing an order.
10. Limitation of liability
Our liability in relation to any order is limited to the value of the goods in that order. We are not liable for indirect or consequential loss, including loss of profit or loss of a downstream contract, except where the law does not allow such limitation. Nothing in these terms excludes liability that cannot lawfully be excluded.
11. Governing law
These terms are governed by the laws of the People's Republic of China. The parties will attempt to resolve any dispute through good-faith discussion before commencing proceedings. Where a signed contract specifies a different governing law or forum, that contract prevails.
12. Changes
We may update these terms. The version in force for your order is the version supplied with, or referenced in, your order confirmation.
This document is a summary written in plain language. It is not legal advice. Signed contracts and order confirmations take precedence over this page where they differ.
